Rules of Procedure for Humagogy Training Courses

Jocelyne Guillon, director of Humagogie, Alexandra Deprez, associate partner, director of B-Families, educational manager and the humagogues (trainers) welcome you.

INTRODUCTION

These rules are established in accordance with the provisions of Articles L.6352-3 and L.6352-4 and R. 6352-1 to R.6352-15 of the French Labour Code.

A copy of these rules is given to each trainee before the start of the training course.

Article 2: Personnel subject to the regulations

These regulations apply to all trainees for the duration of the training course. Each trainee accepts the terms of these regulations when signing the training agreement.

Article 3: General conditions

Any person following a training course offered by Humagogie must respect the present rules in all matters relating to the application of the regulations, as well as the general and permanent rules relating to discipline. Failure to comply with these rules may result in disciplinary action.

Article 4: Access to training

Access to face-to-face training courses depends on the location chosen by the client or Humagogie. If Humagogie organises inter-company training, an invitation will be sent out indicating

– the dates, times and address of the training venue,

– the name of the trainer, the coordinator with his/her telephone number and email

– and the material to be brought.

Access to distance learning courses is via the Humagogie platform with the identifiers given to the trainee at the beginning of the course. These accesses are strictly personal and individual.

Your user account:

You agree to provide accurate and complete information when creating or updating your account. You are solely responsible for all activity that occurs under your account. You must keep your password confidential. You agree to notify Humagogie immediately if you become aware of any unauthorised use of your account or any breach of security. You may not use any account other than your own without permission. Humagogie reserves the right to terminate your account if you violate any of the Terms of Service. A user account may not be shared, transferred or sold to another party. It may not be used by anyone other than a registered user.

You may terminate your account at any time upon request to Humagogie. Closing your account does not entail any financial compensation from Humagogie.

Article 5: Privacy Policy

B-Families and Humagogie will process user data in accordance with the e-learning privacy policy and with the applicable regulations.

B-Families and Humagogie will treat your data as confidential in accordance with the privacy policy of the e-learning course that you accepted when you registered.

Article 6: Ownership of the courses

Each training course presented, whether in the form of videos, course materials or practical workshops, is the property of the training organisation.

The trainee undertakes on his or her honour to use them only for his or her own personal training and exclusively for professional purposes and not to use them in a way that could harm or cause prejudice or competition to the training organisation.

Article 7: Rules of intellectual property law concerning publications

Humagogie and B-Families are the owners of the intellectual property rights or hold the rights of use on all the elements of the trainings, in particular the texts, images, graphics, logos, icons, sounds, software. Any reproduction, representation, modification, publication, adaptation of all or part of the elements of the site, whatever the means or the process used, is prohibited, except with the prior written permission of Humagogie and B-Families.

Any unauthorised use of the site or of any of the elements it contains will be considered as constituting an infringement and will be prosecuted in accordance with the provisions of articles L.335-2 et seq. of the Intellectual Property Code.

You retain, of course, intellectual property rights over all content that you post or share within the framework of the online training community, as well as over all your personal data. You must, however, comply with the legal provisions relating to the publication of online content and ensure that you do not violate the provisions relating to intellectual property, as well as the nature of your comments.

Humagogie reserves the right to delete, without prior notice, any content posted in the learning community that contravenes the legislation applicable in France, in particular the provisions relating to data protection. If necessary, Humagogie and B-Families also reserve the right to hold the user civilly and/or criminally liable, in particular in the event of messages of a racist, insulting, defamatory or pornographic nature, whatever the medium used (text, photographs, etc.).

Article 8: Formalism attached to the follow-up of the training

At the end of the training course, the trainee is given a certificate of completion.

Any certificate given to the trainee at the end of the training is strictly personal and individual, as is access to the training platform and the learning community.

The training content remains accessible one month after the training. If you wish to extend access, this is possible at an additional cost and upon written request to info@humagogie. However, under no circumstances may the videos be copied or downloaded in accordance with the rules of intellectual property law, without exposing yourself to the risk of legal action.

Article 9: Rules of conduct

All trainees are required to behave in a way that guarantees respect for the basic rules of good manners and community behaviour and the smooth running of the training courses.

Any inappropriate comments (harassment, racism, etc.), any defamation, threats or intimidation made by the trainee on any of the training materials or trainee is liable to permanent exclusion from the training course without reimbursement.

You do not distribute confidential information.

You will not use the online training platform or the learning community for illegal purposes. You undertake to comply with all legal provisions applicable to the use of the online training community.

You will not disrupt or block the online learning community or the servers and networks attached to this service, including by transmitting or using malicious software.

You will not restrict the use of the e-learning community by any other user in any way. You will not encourage or facilitate the violation of the Terms of Use.

You may not use this service for non-commercial purposes. Use of the service for commercial, advertising or political purposes is strictly prohibited. You may not use the targeted communication service to promote a product or service for example. The promotion of a service may only be done with the prior consent of Humagogie’s management, if it believes that the information is of interest to the member community.

The online learning community offers the possibility of direct exchange between community members. B-Families and Humagogie are not responsible for the content or the content of these communications. Full responsibility and risk rests with the author of the message.

You agree that Humagogy and B-Families have no obligation to maintain any particular publication or service of the online courses. B-Families and Humagogie reserve the right to edit, delete or refuse a member’s content for any reason without having to justify itself or compensate the user. If a user of the e-learning community violates the rules and regulations, B-Families and Humagogie reserve the right to close the user’s account temporarily or permanently. B-Families and Humagogie do not approve or endorse any user content. You agree that B-Families and Humagogie have no responsibility or liability for your use of the service.

You understand that once you have completed the training, your access to the online educational content and the training community will be removed.

Article 10: Complaints and mediation

Humagogie and its trainers aim to provide you with quality training on a daily basis. If, despite our efforts, you are not satisfied with your training, we suggest that you send us your complaints in writing (by e-mail to info@humagogie.fr or by post).

We will contact you within 72 working hours to review the situation with you, listen to your comments and propose a solution to compensate for the quality defects.

Article 11: Sanctions

Any failure by the trainee to comply with any of the provisions of these internal regulations may be subject to a sanction imposed by the head of the training organisation or his representative.

Any action considered to be wrongful may, depending on its nature and seriousness, be subject to one or other of the following sanctions

call to order ;

– written warning

– reprimand; – temporary exclusion from the course

– temporary exclusion from the course; – permanent exclusion from the course.

Article 12: Interview prior to a sanction and procedure.

No sanction may be imposed on a trainee without the latter being informed at the same time and in writing of the grievances against him/her. When the training organisation is considering imposing a sanction, it shall summon the trainee by registered letter with acknowledgement of receipt or delivered to the person concerned in return for a receipt, indicating the purpose of the summons, the date, time and place of the interview, unless the sanction envisaged does not affect the trainee’s presence for the rest of the training course.

During the interview, the trainee may be assisted by a person of his/her choice, either a trainee or an employee of the training organisation. During the interview, the reason for the envisaged sanction is indicated to the trainee: the latter is then given the opportunity to give any explanation or justification of the facts of which he/she is accused.

The trainee is notified of the penalty in writing, stating the reasons, by registered letter or by letter delivered against receipt. The training organisation shall at the same time inform the employer, and possibly the joint body paying the training costs, of the sanction imposed.

Article 13: Health and safety :

The prevention of the risks of accidents and illnesses is imperative and requires everyone to comply fully with all applicable health and safety regulations. To this end, the general and specific safety instructions in force in the organisation, when they exist, must be strictly respected on pain of disciplinary sanctions.

When the training takes place on the company’s site, the general and specific safety instructions applicable are those of the company.

Terms and Conditions of Use of the Humagogy Website

The purpose of the present general terms of use (known as “TCU”) is to provide a legal framework for the terms and conditions under which HUMAGOGIE makes the site and its services available and to define the conditions of access and use of the services by the “User”.

The present TCU are accessible on the site under the heading ” TCU “.

Any registration or use of the site implies acceptance of these TCU by the user without any reservation or restriction. When registering on the site via the Registration Form, each user expressly accepts these TCU by ticking the box before the following text: “I acknowledge having read and understood the TCU and I accept them”.

In the event of non-acceptance of the TCU stipulated in this contract, the User must renounce access to the services offered by the site.

www.humagogie.fr reserves the right to unilaterally modify the content of these TCUs at any time.

The seller, SARL HUMAGOGIE, offers and runs training courses for professionals in the field of helping relationships, as well as consulting and support services in educational engineering and the digitalisation of training courses for training professionals.

It also organises colloquiums, congresses, inspirational and training days and seeks trainers or training on request for training departments and professionals in the helping professions, human and social sciences.

Declaration of training activity registered under the number 52440831744 with the prefect of the Pays de la Loire region. This registration does not imply approval by the State.

The site is accessible free of charge anywhere to any User with Internet access. All costs incurred by the User to access the service (computer hardware, software, Internet connection, etc.) are at the User’s expense.

The non-member User does not have access to the reserved services. To do so, they must register by filling in the form. By agreeing to register for the reserved services, the member User undertakes to provide truthful and accurate information concerning his/her civil status and contact details, in particular his/her email address.

To access the services, the User must then identify himself using his login and password which will be communicated to him after his registration.

Any User who is a regularly registered member may also request to be removed from the list by going to the dedicated page on his personal space. This will be effective within a reasonable time.

Any event due to a case of force majeure resulting in a malfunction of the site or server and subject to any interruption or modification in case of maintenance, does not engage the responsibility of www.humagogie.fr. In these cases, the User agrees not to hold the publisher responsible for any interruption or suspension of service, even without notice.

The User has the possibility to contact the site by email at the email address of the publisher communicated in ARTICLE 1.

ARTICLE 3: Data collection

The site is exempt from declaration to the Commission Nationale Informatique et Libertés (CNIL) insofar as it does not collect any data concerning the Users.

The HUMAGOGIE brand is a registered trademark of HUMAGOGIE SARL and any representation and/or reproduction and/or exploitation of this brand, in whole or in part, of any kind whatsoever, is totally prohibited.

The User must request prior authorisation from the site for any reproduction, publication or copy of the various contents. The User undertakes to use the contents of the site in a strictly private context; any use for commercial or advertising purposes is strictly prohibited.

Any total or partial representation of this site by any means whatsoever without the express authorisation of the website operator would constitute an infringement punishable by Article L 335-2 et seq. of the Intellectual Property Code.

It is reminded in accordance with article L122-5 of the Intellectual Property Code that the User who reproduces, copies or publishes the protected content must cite the author and its source.

The site cannot be held responsible in the event of force majeure or the unforeseeable and insurmountable act of a third party.

French law applies to this contract. In the event of failure to resolve a dispute between the parties amicably, the French courts shall have sole jurisdiction.

These terms of use are effective as of June 20, 2020. By accessing or using the learning community, forum and online platform services of the course you have registered for or by logging in to the site using your login, you agree to these terms of use.

  3. You will not defame, harass, abuse, threaten, impress or intimidate any person or organisation in the community. You will not post confidential information via the community training or online forum.
  4. You will not use the service for illegal purposes. You agree to abide by all applicable laws in the use of the online training community or forum.
  5. You will not disrupt or block the online training community or forum or the servers and networks attached to this service, including by transmitting or using malicious software.
  6. You will not restrict the use of the e-learning community or forum by another user in any way. You will not encourage or facilitate the violation of these terms of use.
  7. You may not use this service for commercial purposes. Use of the service for commercial, advertising or political purposes is strictly prohibited. You may not use the targeted communication service to promote a product or service, for example.   2. B-Families and Humagogie will treat your data as confidential in accordance with the privacy policy of the e-learning course that you accepted when you registered.

4. Your User Account

  2. You may close your account at any time upon request to Humagogie. Closing the account does not entail any financial compensation from B-Families and Humagogie.

5. Changes to the terms of use

Please note that the terms of use may be subject to change. Users will be notified of any changes and this page will be updated accordingly. Your use of the service offered by Humagogie after such changes will constitute your agreement to the modified terms of use.

Humagogy General Terms and Conditions of Sale

Designation

HUMAGOGIE is a professional training organisation whose head office is located at 9 impasse Jacques Yves Cousteau, 44150 Ancenis – St-Géréon, France.

HUMAGOGIE sets up and provides inter and intra-company training courses, online (Digital Learning) and throughout France, alone or in partnership.

The vendor, SARL HUMAGOGIE, offers and runs training courses for professionals in the field of helping people, as well as consulting and support services in educational engineering and the digitalisation of training courses for training professionals.

It also organises colloquiums, congresses, inspirational and training days and seeks trainers or training on request for training departments and professionals in the helping professions, human and social sciences.

The list and description of the goods and services offered by HUMAGOGIE can be consulted on the website: www.humagogie.fr.

In the following paragraphs, it is agreed to refer to

Client: any natural or legal person who registers or places an order for training with the company Name of the organisation

Trainee or learner: the natural person who takes part in a training course.

GTC: the general terms and conditions of sale, detailed below.

OPCO: the approved competence operators responsible for collecting and managing the training effort of companies.

Inter-company training: Training based on a catalogue carried out online or in premises made available by Humagogie and bringing together learners from different regions and different structures: self-employed, companies, institutions, etc.

Intra-company training: Training carried out on behalf of a Client in premises made available by the Client and bringing together learners from the same structure.

E-learning training: Open, remote training using training modules.

Blended learning training: Mixed and hybrid training carried out partly remotely and partly in person.

Consulting: delegation of tasks or management of a project as defined by the client.

Coaching: co-construction and collaboration on a project defined with the client.

Article 1- Purpose and scope of application

The present General Terms and Conditions of Sale determine the conditions applicable to training services provided by HUMAGOGIE on behalf of a client. Any training order placed with the company implies the client’s unreserved acceptance of these General Terms and Conditions of Sale. These conditions prevail over any other document of the client, in particular over any general conditions of purchase.

Article 2- Contractual documents

For each training course, HUMAGOGIE undertakes to provide the client with an estimate. The latter is required to return to the company a copy that has been filled in, dated, signed and stamped with the words “Good for agreement”.

A continuing professional training agreement will then be drawn up in accordance with Articles L6353-1 and L6353-2 of the French Labour Code or a contract depending on the service ordered by the Client. The Client undertakes to return a signed copy to HUMAGOGIE as soon as possible, bearing its commercial stamp.

At the Client’s request, a certificate of attendance or end of training, as well as attendance sheets can be provided.

Any additions or changes will be made by post or email and may result in a change in the amount invoiced.

Article 3- Prices and payment terms

The prices of the training courses are indicated in euros without taxes because they are exempt from VAT for the educational costs, according to article 262 ter, I of the CGI

Payment is to be made as mentioned on the quotation, in general: 50% upon signature of the contract and 50% at the start of the course, on receipt of the invoice, in cash.

Payment of invoices can be made :

by bank transfer to the following bank: CIC ANCENIS 12 place Alsace Lorraine BP 87 44153 Ancenis (see account number on the quote and/or invoice)

or by https://paypal.me/humagogie (plus charges)

or by cheque made out to Humagogie.

Please indicate the invoice number and the name of your organisation.

In exceptional cases, payment may be made in instalments. In any case, the terms and conditions must be formalised before the start of the course.

Any course started is due in full.

As HUMAGOGIE’s acceptance is conditional upon full payment of the invoice, HUMAGOGIE expressly reserves the right to freely dispose of the places selected by the Client, as long as the registration fees have not been covered in accordance with the conditions set out below.

Invoices are issued at the time of registration and at the beginning of the course. Meals are not included in the price of training courses unless otherwise stated.

Our terms of sale do not provide for any discount for early payment.

In accordance with the law of 12 May 1980, the goods delivered remain our property until full payment has been received. In the event of late payment, an indemnity calculated on the basis of three times the legal interest rate in force as well as a fixed indemnity for collection costs of 40€ will be payable in accordance with Article L 441-6 of the Commercial Code.

HUMAGOGIE nevertheless reserves the right to claim additional compensation, upon justification, when the costs actually incurred are higher than this amount.

 Article 4 – Opening of a training session

HUMAGOGIE reserves the right to postpone an inter-company training session, without compensation, at the latest two weeks before the scheduled date, for educational reasons or if the number of participants is insufficient.

Payment of expenses

If the client benefits from financing by an OPCO, he/she must make a request for reimbursement before the start of the service. The client is required to provide the financing agreement at the time of registration. If HUMAGOGIE does not receive the funding from the OPCO on the first day of the course, the full cost of the course will be invoiced to the client.

Training programme

If he/she deems it necessary, the trainer may modify the content of the training courses according to current events, group dynamics or the level of the participants. The contents of the programmes appearing on the presentation sheets are therefore provided for information purposes only.

Details for in-company training

In the case of face-to-face training on the client’s premises, the Client certifies on his honour that his premises are in compliance and that the establishment or the room(s) hosting the training meet the accessibility rules in force for any establishment receiving the public in the 5th category or an installation open to the public, in accordance with Article R. 111-19-33 of the Construction and Housing Code.

A commercial and financial proposal will be drawn up beforehand by HUMAGOGIE. A deposit of 30 to 50% shall be paid by the Client on signing the order. The remainder is due on receipt of the various invoices issued as the training courses progress. In the event of non-payment in full of an invoice that has fallen due, after formal notice has remained without effect for 5 working days, HUMAGOGIE reserves the right to suspend all current and/or future training.

Article 5- Conditions for postponing and cancelling a training session

Any cancellation must be notified by e-mail to info@humagogie.fr

Cancellation of a training session is possible, provided that it is done :

at least 30 calendar days before the day and time of the start of the inter-company training session.

at least 60 calendar days before the start date and time of the in-company training course.

In the event of cancellation within a shorter period, the amount of the training course (excluding travel, catering and accommodation costs that may still be cancelled on the date of receipt of the request for cancellation of the training course) shall remain immediately payable as a fixed compensation for damages.

The client may request a postponement of his participation in an inter-course course, provided that he sends a written request to the training organisation within 30 days before the date of the course.

In the event of non-performance of its obligations following a fortuitous event or a case of force majeure, HUMAGOGIE may not be held responsible towards its clients. The latter will be informed by e-mail.

For advice and support :

For any cancellation communicated by the Client less than 30 calendar days before the start of the action, no charge.

For any cancellation communicated by the Client less than 29 calendar days before the start of the action, a fee of 50% of the amount of the service will be charged by Humagogie to the Client as a forfeit.

Article 6- REFUSAL OF ORDER

In the event that a Customer places an order with Humagogie without having paid for the previous order(s), Humagogie may refuse to honour the order and to deliver the training courses concerned, without the Customer being entitled to claim any compensation whatsoever, for whatever reason.

Article 7- NULLITY AND MODIFICATION OF THE CONTRACT

If one of the stipulations of this contract is null and void, this nullity shall not entail the nullity of the other stipulations which shall remain in force between the parties. Any contractual modification is only valid after a written and signed agreement of both parties.

Article 8- INTELLECTUAL PROPERTY AND COPYRIGHT

The training materials, whatever their form (paper, digital, electronic, etc.), are protected by intellectual property and copyright. They may not be reproduced, in whole or in part, without the express agreement of the company and the author. The client undertakes not to use, transmit or reproduce all or part of these documents with a view to organising or conducting training courses.

Details for in-company training courses: Subject to full payment of the price of the training session, HUMAGOGIE may transfer to the Client the rights of reproduction, use, distribution, adaptation, modification and exploitation of the training materials, for exclusively internal use and under conditions to be defined between the parties.

Article 9- DATA PROTECTION AND FREEDOMS

The personal information communicated by the client to HUMAGOGIE is useful for the processing of the registration as well as for the constitution of a customer file for commercial prospecting. In accordance with the French law of 6 January 1978 on information technology and civil liberties, the client has the right to access, rectify and oppose any personal data concerning him/her.

The Client is informed that personal information communicated to HUMAGOGIE in application and in the execution of orders and/or sales may be communicated to HUMAGOGIE’s contractual partners for the purposes of said orders.

HUMAGOGIE undertakes to apply the appropriate administrative, physical and technical measures to preserve the security, confidentiality and integrity of the client’s data. It shall refrain from disclosing the client’s data, except in the event of legal constraints.

Article 10 – CLAIMS

Article 11 – FORCE MAJEURE

The performance of the seller’s obligations under the terms of this contract shall be suspended in the event of a fortuitous event or force majeure which prevents its performance. The seller shall notify the customer of the occurrence of such an event as soon as possible.

Article 12 – LIABILITY

HUMAGOGIE may be held liable for any direct damage suffered by the Client and resulting from the execution of the training and/or coaching/advisory actions.

The compensation due to the Client, as compensation for its loss, may not exceed the amount corresponding to the sums paid by the Client to HUMAGOGIE for the calendar year during which the loss occurred.

Article 13 – CONFIDENTIALITY

All information (other than that which is accessible to the public) of which HUMAGOGIE or the Client has knowledge or which has been communicated by the other party or by a client or a third party, prior to or during the performance of the contract, is strictly confidential and each of the parties shall refrain from disclosing it.

For the purposes of the performance of the services, each of the parties is only authorised to communicate the aforementioned information to its employees and/or any authorised subcontractors; each of the parties is responsible for the compliance with this obligation by its employees and/or any subcontractors. Each of the parties undertakes to return (or destroy, at the option of the other party) the said information as well as its copy, within 5 working days after the end or termination of the contract or the purchase order, on simple request of the other party. The Parties shall be bound by this obligation of confidentiality for a period of two years from the termination of their contractual relationship.

Article 14 – COMMUNICATION

The Client expressly authorises HUMAGOGIE to mention its name, its logo and to mention as references the subscription to an order and any operation resulting from its application in all their commercial documents.

Article 15 – WAIVER

The fact that HUMAGOGIE does not avail itself at a given time of any of the clauses of the present contract shall not constitute a waiver of the right to avail itself of these same clauses at a later date.

Article 16- Applicable law and attribution of jurisdiction

The General Conditions and all relations between HUMAGOGIE and its Clients are governed by French law. In the event of a dispute arising between HUMAGOGIE and the Client, the search for an amicable solution shall be preferred. All disputes that cannot be settled amicably shall be under the EXCLUSIVE COMPETENCE of the COMMERCIAL COURT OF NANTES, regardless of the Client’s registered office or residence, notwithstanding multiple defendants or the introduction of third parties.

This jurisdiction clause shall not apply in the event of a dispute with a non-professional Client for whom the legal rules of material and geographical jurisdiction shall apply. This clause is stipulated in the interest of HUMAGOGIE, which reserves the right to waive it if it sees fit.
